FleetMouse Terms and Conditions
These Terms are the contract of sale for a FleetMouse licence. They are not the licence to install and run the software, not the refund policy, and not the privacy policy. The seller named below is Dreamodus Software Inc. until a merchant of record is inserted.
At a glance
- Who sells: Dreamodus Software Inc. We do not take card numbers. A purchase record is not a card.
- What you buy: seats on a licence key. FleetMouse is licensed, not sold. The End-User Licence Agreement is the licence; these Terms are how you pay for it.
- How it arrives: the key is shown on your customer portal at fleetmouse.com once payment is confirmed, and a copy is emailed to you. You then activate it on each machine.
- Refunds: the Refund Policy is the customer-facing statement. A refunded seat stops. A refund of every seat is a revocation of the key, not a key that licenses nobody.
1
The agreement
These Terms and Conditions (the “Terms”) are a contract between you and Dreamodus Software Inc. (“Dreamodus,” “we,” “us,” or “our”), a corporation incorporated in British Columbia, Canada, for the purchase of a licence to FleetMouse (the “Software”).
You accept these Terms by doing any of the following: completing a checkout that links to them; clicking or tapping a control that says you agree; paying for seats; or activating a paid licence key issued under these Terms. If you do not agree, do not complete the purchase. Electronic acceptance is intended to satisfy British Columbia’s Electronic Transactions Act and the equivalent electronic-commerce statutes of other provinces.
If you accept for an organization, you represent that you have authority to bind that organization. “You” then means that organization, and the people it authorises to complete the purchase or to hold the key.
There is one set of Terms today. Organizations and individuals are not sold under different legal products. The definition of a seat does not change either way.
Checkout should link the Privacy Policy, these Terms, and the Refund Policy. First-run presentation of the End-User Licence Agreement is a different act, described in that Agreement. There is no installer licence page.
3
Defined terms
These words have the meanings below. Other terms are defined where they first appear. Words that the End-User Licence Agreement already defines — Seat, Pairing, Spanning, Assistant, Private network — have the same meaning here.
- “Software” means FleetMouse as we supply it, as the End-User Licence Agreement uses the word. A later major version is a new licence (section 14).
- “Licence key” means the secret that identifies a fleet. Holders of the same key share that fleet’s seats. The key is a fleet-wide secret.
- “Paid seats” means seats on a paid licence. A trial or complimentary beta key is not a paid purchase.
- “Checkout” means the payment flow through which you buy paid seats, whether that flow is hosted by us or by a merchant of record.
- “Merchant of record” means a third party we appoint as the legal seller of the licence for tax, invoicing, and payment. Until one is named in these Terms, Dreamodus is the seller.
4
Who the seller is
The seller of the licence is Dreamodus Software Inc., a British Columbia corporation. Contact: info@dreamodus.software.
We are the licensor in every case. The End-User Licence Agreement is always with Dreamodus. Inserting a merchant of record does not make that merchant the licensor.
When a merchant of record is inserted, these Terms continue to describe what you are buying from us as licensor: seats, how the key is issued, what a refund does to those seats, and how the licence server behaves. The merchant’s terms then govern the card charge, the invoice, and the remittance of tax. If there is a conflict about the charge itself, the merchant’s terms govern that charge; these Terms still govern the licence we issue.
5
What you are buying
You are buying paid seats on a FleetMouse licence. What a seat is, what one seat covers, and what pairing and spanning require, is in the End-User Licence Agreement. These Terms do not re-teach that.
The Software is licensed, not sold. You do not buy a copy of the Software, source code, or our marks. You buy the right to activate the number of seats you paid for, on machines you own or are authorised to operate, under that Agreement.
A purchase is of the current major version. A later major version is a new licence (section 14). Your purchase is not contingent on any future feature, and is not dependent on public comments about what we might build.
A paid seat has no function end-date. The tools gate never reads the “updates through” field that may appear in the signed licence file and on Account. Do not read that date as “the licence expires after a year.” A build past that window keeps running.
We do not sell a hosted control path. Pairing and spanning traffic stays on your private network. We do not relay it. An AI assistant you attach is a client you choose; we are not that client. Those facts are in the End-User Licence Agreement and the Privacy Policy. They are restated here only so a sale contract is not read as a cloud-service subscription.
6
Eligibility
You must have the legal capacity to enter a contract. If you buy for an organization, you represent that you may bind it.
You represent that you will install and activate the Software only on machines you own or are authorised to operate, as the End-User Licence Agreement requires. Completing a purchase is not permission to put the Software on someone else’s machine.
You represent that you are not a person with whom we are forbidden to deal under Canadian sanctions law, and that you will not export or use the Software in violation of export or sanctions law. The End-User Licence Agreement states that duty more fully.
The Software is not directed at children.
7
Orders
An order is an offer to buy the number of paid seats shown at checkout, at the price shown, under these Terms. We may accept or refuse. Acceptance is our issuing a paid licence key for those seats, or growing an existing paid licence by those seats (section 13).
We may refuse an order that we reasonably believe is fraudulent, sanctioned, a duplicate of a payment already applied, or a request to grow a key that is not a paid licence. A purchase that names a licence key we cannot find is refused. It does not mint a second licence. That refusal exists so a mistyped key cannot leave you holding two fleets.
A purchase order, vendor form, or similar instrument you issue does not amend these Terms or the End-User Licence Agreement.
8
Price and taxes
The price is the amount shown at checkout for the seats you buy,
in the currency shown. Our published price is on
fleetmouse.com/pricing: one flat price per seat, every
seat the same, in US dollars. That amount is not a subscription.
There is no auto-renewal of paid seats.
Unless checkout says otherwise, the price is exclusive of tax. You are responsible for taxes that apply to the purchase, except taxes on our net income.
Because we are a British Columbia corporation selling software, Canadian GST/HST and British Columbia provincial sales tax on software may apply when we are the seller. Other places may charge VAT, sales tax, or a similar levy. This paragraph is a notice that those regimes exist. It is not tax advice.
We, or the merchant of record if one is named, will issue a receipt or invoice to the email on the purchase. Keep it. We already keep a purchase record (payment reference, event, seat counts before and after) when a purchase or refund is posted to us.
9
Payment
Dreamodus does not collect card numbers, bank-account numbers, or other payment-instrument details. We do not build a card field.
Seats are not issued until payment is confirmed to us. A payment that is later reversed is handled as a refund or a chargeback (sections 15 and 16), not as a gift of seats.
10
Delivery of the key
What we deliver is a licence key for the seats you bought, or a confirmation that an existing paid key now has those further seats. The Software itself is a download. Delivery of the key is delivery of the purchase.
The key is delivered on your customer portal at fleetmouse.com: it is shown there once payment is confirmed and stays readable there. A copy is sent to the email on the purchase. A confirmation that seats were added to a key you already hold does not repeat the key.
You then activate the key on each machine, from Account. Activation is your act. We do not remotely install the Software. A machine that cannot reach the licence server cannot complete a first activation.
Risk in the key passes when it is made available to you on the portal. You must keep the key confidential (section 17). If the emailed copy does not arrive, sign in to the portal; the key is there. If you cannot reach the portal, tell us at info@dreamodus.software from the address on the purchase so we can help without widening who has seen the key.
11
The licence server
Paid seats include the right to talk to the licence server we
operate at
https://licensing.dreamodus.software
for activation, a weekly heartbeat, fetch of the current signed
licence file, and seat release. That is a licensing service. It is
not a hosted desktop, not a relay for pairing or spanning, and not
an updater.
If the server is unreachable, a machine that already holds a valid local licence continues to run. Unreachable is a warning, not a stop. A signed revocation, an expired trial, or a missing key on a fresh install is a stop of the tools and spanning, delivered the next time that machine talks to us. We cannot push a stop to an offline machine. The manager still launches. A stop must never strand the keyboard.
We do not promise a particular uptime. The End-User Licence Agreement’s warranty language, not this paragraph, is the quality term for the Software.
12
Trial and complimentary beta
A trial and a complimentary time-limited key (beta) are issued per fleet (one key, several seats), not per person. They are not a paid purchase. There is no price to refund.
One trial is issued per email address, not per person. Public trial is not offered from Account. An unlicensed copy is enter the key from your purchase, or a key we issued for beta.
When a trial or beta key expires, the tools and spanning stop. The manager still launches. Clock rollback is a warning, never a stop.
You cannot buy additional seats onto a trial or beta key. The way out is to buy a paid licence, then replace the key on each machine. Replacing a key releases the old seat rather than stranding it.
The live trial default is configurable. It is not a published offer.
13
Adding seats
Further paid seats grow the existing paid licence. The key does not change. Seat count is a column on the licence, not something encoded in the key, so a small fleet and a large one hold the same kind of key. One fleet is one licensing identity, so “how many seats do I have” has one answer.
A purchase that names a paid key adds seats to that key. A purchase that names an email mints a new paid key. A purchase that names a key we cannot find is refused; it does not fall back to a mint. A purchase that names a trial or beta key is refused.
A confirmation that a key now has more seats does not repeat the key. The “updates through” date on a paid file, if present, moves forward only — a top-up bought inside a longer window does not shorten it. That date remains a notice, not a stop.
14
Major versions
A new major version is a new licence / new SKU. It is not included in the prior purchase. Do not read these Terms as “buy once, every future major is included.”
Existing holders may be offered that SKU at a discount. The amount is not a published offer. That commercial shape is separate from the paid “updates through” date, which is a notice rather than a stop.
Installing a new major version is accepting the End-User Licence Agreement that accompanies that SKU, and — if you pay for it — these Terms as they then stand.
15
Refunds
The Refund Policy is the customer-facing statement of when we refund, how to ask, and what a consumer’s mandatory withdrawal right is. It is incorporated into these Terms. The paragraphs below are the product facts that policy must not contradict. They are not a second refund window.
| Event | What happens to the licence | What happens on machines |
|---|---|---|
| Partial refund of seats | The paid licence shrinks by those seats. The key stays. | The newest activations are released at once. Those machines stop the tools and spanning. A refunded seat that kept working would be a seat count that lies. |
| Refund of every seat | A shrink to zero is refused. The intended act is a revocation of the key. | All seats stop the tools and spanning once that machine next talks to us. |
| Trial or beta | Not a paid purchase. No money to return. | Expiry stops the tools and spanning. The manager still launches. |
Newest means last activated. If two machines activated in the same second, insertion order breaks the tie.
A confirmation of a refund does not repeat the key. Seat release is not company-side erasure of the email or the licence row. Remove all my data is not a refund request.
16
Chargebacks and payment disputes
If you have a genuine problem with a purchase, write to info@dreamodus.software first. A chargeback opened without that step, on a key that was delivered and activated, is a payment dispute we will contest.
A chargeback, a reversed payment, or a fraud claim that succeeds is treated as a refund of the seats that payment covered, using the same mechanics as section 15. Those seats stop. We may refuse further sales to the same email, the same licence key, or the same payment identity.
If a merchant of record is the seller, their dispute process sits in front of this section for the charge itself. We still apply the seat mechanics.
17
The licence key
The licence key is a fleet-wide secret. Anyone who has it can see the other active seats on that key (display name, operating system, first-seen, last-seen) and can rename, blank, or release any of them, including another machine. A released seat that still asks can see the fleet it might rejoin. That is disclosure among holders of the same licence, not a public directory. The Privacy Policy states this as a notice item.
You must keep the key confidential and not share it except with people you authorise to administer that fleet. You must not publish it, sell it, or use it as a shared public password. If you know or suspect it has leaked, tell us promptly at info@dreamodus.software. We may revoke the key and, where the purchase is still in good standing, issue a replacement.
Transfer of a paid licence to a successor that acquires substantially all of your relevant assets is permitted if they agree in writing to these Terms and the End-User Licence Agreement. Any other assignment of the key is a leak, not a sale.
18
Acceptable use of the purchase
The End-User Licence Agreement states what you must not do with the Software. These Terms add only what you must not do with the purchase itself. You must not, and must not allow anyone else to:
- complete a checkout with a payment instrument you are not authorised to use;
- open a chargeback as a substitute for the Refund Policy;
- resell, auction, or publicly post a licence key;
- obtain a second trial for the same email by a false name, a disposable address, or a similar device;
- circumvent the “one fleet, one key” design by treating a refused unknown-key purchase as a defect rather than a protection.
We may refuse or revoke a sale that breaches this section. A revocation stops the tools and spanning on the next contact with us; it does not itself delete pairing records or uninstall the Software. That commercial stop is described in the End-User Licence Agreement.
19
Our website
The public site at fleetmouse.com hosts these Terms, the Privacy Policy, the End-User Licence Agreement, and the Refund Policy. Contact remains info@dreamodus.software.
Use of that site to read these documents, to download the Software, or to complete a checkout is covered by these Terms. You must not attack, scrape, or overload the site or the licence server.
20
Changes
We may update these Terms. The version you accepted at checkout continues to govern that purchase. A later purchase — including more seats, or a new major version — is under the Terms then posted at fleetmouse.com.
If a change is required by law, we may post the new version there and it will apply from the date stated, except that a consumer retains any right the applicable consumer law gives them to refuse a unilateral amendment.
We will not silently replace the terms of a purchase you have already completed.
21
Suspension and cancellation
You may stop using the Software at any time. Clearing a copy is Remove all my data, then the operating-system uninstaller, as the End-User Licence Agreement describes. That is not, by itself, a refund.
We may refuse a new sale, revoke a key, or refuse a top-up if you materially breach these Terms or the End-User Licence Agreement and, where the breach can be cured, you have not cured it within 15 days of notice. We may revoke immediately if we reasonably believe the payment was unauthorised or the key has been published.
On revocation the paid seats stop as section 11 describes. Sections that by their nature should survive — including 15–18 and 22–25 — survive.
22
Limited warranty and disclaimer
22.1 Title, and delivery of the key
We warrant that we have the right to sell the seats and to grant the licence in the End-User Licence Agreement. We warrant that we will issue the licence key (or grow the named paid key) for the seats you paid for.
22.2 The Software
The End-User Licence Agreement states the limited warranty for the Software, including material conformity of a paid seat with the documentation we ship with that build, and the exclusive remedy if we cannot repair it. These Terms do not add a second quality warranty, and they do not extend that one.
22.3 As sold
Except for sections 22.1 and 22.2, and except for any warranty that applicable consumer law does not allow us to exclude, the purchase is provided “as is” and “as available.” We do not warrant that:
- checkout, email delivery, or the licence server will be uninterrupted, timely, or error-free;
- a particular tax treatment will apply in your place;
- a later major version is included in this purchase;
- an assistant you attach will act competently, or at all.
Marketing, documentation, and in-app copy describe present product behaviour. They are not additional warranties, and they are not a published price or a published trial offer.
22.4 Consumer rights that remain
If you acquired the licence as a consumer, statutory rights that cannot be excluded or limited remain. Depending on where you are, those may include rights under British Columbia’s Business Practices and Consumer Protection Act, Québec’s Consumer Protection Act (including that a merchant cannot exclude the consequences of the merchant’s own act), other Canadian provincial consumer statutes, and mandatory consumer law of the EU, the United Kingdom, or another place whose law applies to you.
Nothing in these Terms is an unfair practice, a waiver of a right that cannot be waived, a class-proceeding waiver, or a requirement that a consumer submit a future dispute to arbitration. British Columbia law now treats some of those terms as void in a consumer contract, and as an offence to include. We do not include them.
23
Limitation of liability
23.1 What this section does not exclude
Nothing in these Terms excludes or limits liability for:
- fraud or fraudulent misrepresentation;
- death or personal injury caused by negligence, where the applicable law does not allow that exclusion;
- our own wilful misconduct or gross negligence (including, where Québec law applies, faute intentionnelle or faute lourde under article 1474 of the Civil Code of Québec — which also forbids excluding or limiting liability for bodily or moral injury at all);
- any liability that applicable consumer law does not allow us to exclude or limit.
23.2 Indirect loss
Subject to section 23.1, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, or the cost of substitute software, even if advised of the possibility.
23.3 Direct loss
Subject to sections 23.1 and 23.2, each party’s aggregate liability arising out of or relating to these Terms is limited to the amount you paid us for the purchase that is the subject of the claim.
23.4 Allocation
The licence fee reflects this allocation of risk. The limitations in this section apply to the extent the applicable law allows, and regardless of the theory of liability. We are not liable for what a hosted AI vendor does with screenshots or text its client sent them, or for what a local model does on your machine. That is the End-User Licence Agreement; it is named here so a sale contract is not read as covering it.
24
Governing law and venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules.
If you are not a consumer, the courts of British Columbia have exclusive jurisdiction.
If you are a consumer, you may bring a claim in British Columbia or in the courts of your place of residence, to the extent the mandatory consumer law of that place so requires. Nothing in these Terms requires a consumer to submit a future dispute to arbitration, or stops a consumer from commencing or joining a class proceeding.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If a merchant of record is the seller of the charge, their terms may choose a different law for that charge. That choice does not rewrite the End-User Licence Agreement, and it does not rewrite these Terms as they apply to the licence we issue.
25
General
These Terms are the entire agreement between you and us about the sale of the licence. They sit beside the End-User Licence Agreement, the Privacy Policy, and the Refund Policy; they do not replace them. They supersede prior discussions about that sale.
If a court holds a provision unenforceable, that provision is read down to the minimum extent necessary, and the rest remains in force. A failure to enforce is not a waiver.
You may not assign these Terms except as section 17 permits. We may assign them in connection with a merger, reorganisation, or sale of assets.
Notices to us go to info@dreamodus.software. Notices to you go to the email on the licence record, or the email on the purchase if that is different.
We are not liable for delay or failure caused by events beyond our reasonable control (a force majeure), including a failure of the email path that carries the copy of the key — in which case the portal in section 10 is the remedy, not a claim for consequential loss. Neither of us is the other’s partner, agent, or joint venturer. There are no third-party beneficiaries of these Terms, except that a named merchant of record may rely on sections 4, 9, and 16 as they apply to the charge.
It is the express wish of the parties that these Terms and all related documents be drawn up in English. C’est la volonté expresse des parties que la présente convention ainsi que les documents qui s’y rattachent soient rédigés en anglais.
